• Technology Platform: AI-powered optimization, real-time bidding, and comprehensive reporting

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

4. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account

As an advertiser, you agree that all advertising campaigns must:

• Not infringe on intellectual property rights
• Meet our content guidelines and quality standards

5.2 Payment Terms

Advertisers agree to pay all fees associated with their campaigns according to the agreed-upon payment terms. Payment is due within 30 days of invoice unless otherwise specified. Late payments may incur interest charges and result in campaign suspension.

5.3 Performance Guarantees

While we use advanced technology to optimize campaign performance, we do not guarantee specific results, conversion rates, or return on investment. Performance depends on various factors including creative quality, targeting parameters, and market conditions.

6. Publisher Terms

6.1 Content Standards

Publishers must maintain websites that:

• Contain original, high-quality content
• Comply with all applicable laws and regulations
• Do not promote illegal activities
• Do not contain malware or malicious code
• Do not engage in fraudulent traffic generation

6.2 Traffic Quality

Publishers represent and warrant that all traffic is legitimate and generated through organic means. Prohibited practices include:

• Click fraud or artificial traffic generation
• Use of bots, automated scripts, or click farms
• Incentivized clicks or forced actions
• Misleading ad placements
• Cookie stuffing or other fraudulent techniques

6.3 Payment Terms

Publishers will be paid according to the agreed-upon payment schedule, typically net-30 or net-60 days. We reserve the right to withhold payment for traffic that appears fraudulent or violates these Terms until investigation is complete.

7. Prohibited Uses

You may not use our Services to:

• Violate any local, state, national, or international law
• Infringe on intellectual property rights
• Transmit viruses, malware, or harmful code
• Engage in fraudulent or deceptive practices
• Harass, abuse, or harm others
• Collect personal information without consent
• Interfere with or disrupt the Services
• Attempt to gain unauthorized access to systems
• Promote prohibited content (illegal drugs, weapons, adult content without proper safeguards, etc.)
• Impersonate others or misrepresent affiliations

8. Intellectual Property Rights

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and design, are owned by Paradion and protected by copyright, trademark, and other intellectual property laws.

8.2 Your License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. This license does not include any right to:

10. Disclaimers and Limitation of Liability

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• Results obtained from the Services will be accurate or reliable
• Any defects will be corrected
• The Services will meet your requirements

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARADION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $1,000, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Paradion, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Content you submit to the Services

12. Dispute Resolution

12.1 Informal Resolution

If you have a dispute with us, you agree to first contact us at office@paradion.io and attempt to resolve the dispute informally.

12.2 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the United States, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Paradion individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Services will cease immediately
• Outstanding payments remain due
• Provisions that by their nature should survive termination will survive

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and Paradion concerning the Services.
